These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Heiyanquan ("we", "us", or "our") governing your access to and use of our platform, which includes curated AI tools, AI industry news, editorial blogs, newsletters, community discussions, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Eligibility and Account Registration

• You must be at least 16 years of age to access the Services. Users under the age of majority in their jurisdiction must obtain parental consent.
• To access certain features, you may need to create an account and provide accurate, current information. You are responsible for safeguarding your credentials and for all activities that occur under your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or are otherwise deemed a risk to the integrity of the Services.

Use of the Services

• You may use the Services for lawful purposes only. You agree not to engage in activity that infringes third-party rights, violates applicable laws or regulations, or disrupts other users' experience.
• You are responsible for the content you submit, including prompts, feedback, comments, and uploaded media. Do not submit personal data of others without permission, or content that is defamatory, obscene, hateful, or otherwise inappropriate.
• When interacting with integrated AI tools, you acknowledge that outputs may be generated by third-party models and could include inaccuracies. Use outputs with caution and verify critical information independently.
• Unless expressly authorised in writing, you may not resell, lease, or provide the Services to third parties on a white-label or multi-tenant basis.
• Automated scraping, rate-limiting circumvention, or other unauthorised access attempts are prohibited. We may employ technical and legal means to enforce these limitations.

Content and Intellectual Property

• All original content published by us—including text, graphics, logos, page layouts, and software—remains our intellectual property and is protected by copyright, trademark, and other laws.
• We grant you a limited, non-exclusive, non-transferable licence to use the Services for personal or internal business purposes in accordance with these Terms.
• By submitting content to the Services, you grant us a worldwide, royalty-free, perpetual licence to use, reproduce, modify, publish, and distribute that content for the purpose of operating, improving, and promoting the Services. You represent that you have all necessary rights to grant this licence.
• Third-party trademarks, logos, and AI product names appearing in directories or articles belong to their respective owners. Inclusion does not imply endorsement.

AI Outputs and Disclaimers

• AI-generated summaries, tool recommendations, or code snippets may be produced automatically. We do not guarantee their accuracy, completeness, or suitability for any purpose.
• You are solely responsible for evaluating and implementing AI outputs, including ensuring compliance with applicable laws, policies, and industry standards.
• AI prompts and outputs may be reviewed in aggregate to improve model performance, prevent abuse, and ensure responsible use.

Payments and Subscriptions

• Certain features may require paid subscriptions, credits, or affiliate purchases. Pricing and billing cycles will be disclosed during checkout.
• Taxes, currency conversions, and third-party transaction fees are your responsibility unless otherwise stated.
• Unless required by law, all fees are non-refundable. You may cancel a subscription at any time, but access will continue until the end of the current billing period.

Third-Party Services

The Services integrate with third-party APIs, AI model providers, news feeds, advertising networks, and affiliate platforms. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Copyright Complaints

If you believe that content on the Services infringes your copyright, send a notice to support@heiyanquan.fun with a detailed description of the alleged infringement, your contact information, and a statement confirming that your notice is accurate and that you are the rights holder or authorised to act on their behalf.

Disclaimer of Warranties

TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT RESULTS OBTAINED FROM THE SERVICES WILL MEET YOUR EXPECTATIONS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEIYANQUAN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Indemnification

You agree to indemnify, defend, and hold harmless Heiyanquan and its officers, directors, employees, agents, licensors, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any rights of another party.

Termination

We may suspend or terminate your access to the Services at any time, without prior notice, for conduct that we reasonably believe violates these Terms or harms other users, us, or third parties. Upon termination, the rights and licences granted to you will immediately cease.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of or relating to the Services shall be submitted to the exclusive jurisdiction of the courts of Singapore. If you are a consumer resident in the European Union, you may have the right to bring disputes in your home country under mandatory consumer protection laws.

Changes to the Terms

We may update these Terms from time to time. When material changes occur, we will post an updated version and revise the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
